When you place an order, you make an offer to purchase. Salomé Amsterdam reserves the right to accept or decline your order at its sole discretion for any reason. Your order is accepted only after Salomé Amsterdam has confirmed it. We must receive and process your payment before your order is accepted. Please review your order carefully before submitting it. Salomé Amsterdam may be unable to honor a cancellation request after your order has been accepted. In the event we do not accept, modify, or cancel an order, we will attempt to notify you by contacting the email address, billing address, and/or phone number provided during the ordering process.

You may return or exchange purchases solely in accordance with our Refund Policy.

You represent and warrant that your purchases are intended for personal or household use only and not for commercial resale or export.

ARTICLE 4 - PRICES AND BILLING

Prices, discounts, and promotions are subject to change without notice. The price charged for a product or service will be the price in effect at the time the order is placed, as stated in the confirmation email you receive after placing your order. Unless explicitly stated otherwise, listed prices exclude taxes, shipping fees, handling charges, customs duties, and import taxes.

Prices displayed in our online stores may differ from prices in physical stores, or in online stores or other shops operated by third parties. From time to time, we may offer promotions for the Services that may affect pricing and are subject to separate terms and conditions from these Terms. In the event of a conflict between the terms of a promotion and these Terms, the promotion terms will prevail.

ARTICLE 5 - SHIPPING AND DELIVERY

We are not liable for shipping and delivery delays. All stated delivery times are estimates only and are not guaranteed. We are not liable for delays caused by carriers, customs clearance, or events beyond our control. The risk of damage to or loss of products remains with Salomé Amsterdam until the moment of delivery to the consumer, unless agreed otherwise (such as with safe place / leave-at-door permission).

ARTICLE 6 - INTELLECTUAL PROPERTY

Our Services, including but not limited to all trademarks, brands, text, displays, images, graphics, product reviews, video, audio, and the design, selection, and arrangement thereof, are owned by Salomé Amsterdam, its affiliates, or licensors, and are protected by patent, copyright, and intellectual property laws in the United States and other countries.

These Terms permit you to use the Services for personal, non-commercial use only. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material within the Services without our prior written consent. Except as explicitly provided in these Terms, nothing herein grants you a license or other rights under any patent, trademark, copyright, or other intellectual property of Salomé Amsterdam, Shopify, or any third party. Salomé Amsterdam utilizes Shopify to provide the Services to you. However, all sales and purchases made in our store are transacted directly with Salomé Amsterdam. By using the Services, you acknowledge and agree that Shopify is not responsible for any sales-related aspect between you and Salomé Amsterdam, including injury, damage, or loss resulting from purchased products and services. You hereby explicitly release Shopify and its affiliates from all claims, damages, and liabilities arising out of or related to your purchases from and transactions with Salomé Amsterdam.

The following articles shall survive termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver; Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other provisions that by their nature should survive termination.

This includes, without limitation, lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability, or otherwise, arising from your use of any of the Services or any products procured using the Services, or for any other claim related in any way to your use of the Services or any product. This includes, but is not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the Services or any content (or product) posted, transmitted, or otherwise made available via the Services, even if advised of their possibility.

ARTICLE 17 - INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Salomé Amsterdam, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from any costs related to losses, damages, liabilities, or claims, including reasonable legal fees, made by any third party due to or arising out of (1) your breach of these Terms of Service or the documents incorporated herein by reference; (2) your violation of any law or the rights of a third party; or (3) your access to and use of the Services.

We will notify you of any claim entitling us to indemnification, provided that failure to give timely notice will not relieve you of your obligations unless you are materially prejudiced thereby. We may handle the defense and settlement of such claim at your expense, including hiring counsel, but we will not settle claims requiring non-monetary obligations from you without your consent (which shall not be unreasonably withheld). You are required to cooperate in the defense of indemnified claims, including providing relevant documents.

In the event that any provision of these Terms of Service is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms of Service. Such determination shall not affect the validity and enforceability of any other remaining provisions.

The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

These Terms of Service and any policies or operating rules posted by us on this site or in respect to the Service constitute the entire agreement and understanding between you and us and govern your use of the Service. These Terms supersede any prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).

You may not delegate, transfer, or assign this Agreement or your rights or obligations under these Terms without our prior written consent. Any attempt to do so shall be void. We may assign, transfer, or delegate these Terms and our rights and obligations without your consent or notice to you.

ARTICLE 21 - GOVERNING LAW

These Terms of Service and any agreements between you and Salomé Amsterdam shall be governed exclusively by Dutch law. Any disputes shall be submitted exclusively to the competent court in the district where Salomé Amsterdam is established, without prejudice to the consumer's right to submit the dispute to the court designated competent by law.

This choice of law does not prejudice the mandatory consumer protection provisions applicable in the country where the consumer resides.

ARTICLE 21A - ADDITIONAL PROVISIONS FOR CUSTOMERS IN GERMANY

For customers residing in Germany, the following additional provisions apply in addition to the above:

• Choice of Law: The choice of Dutch law leaves unaffected the mandatory provisions of German consumer law to which you are entitled as a German consumer. In Germany, you can always rely on the protection granted to you by mandatory provisions of the law of your country of habitual residence.

• Statutory Warranty (Sachmängelhaftung): In addition to any contractual warranties we offer, you as a consumer are entitled to the statutory warranty rights for defective products (Sachmängelhaftung) pursuant to §§ 434 et seq. BGB. This statutory warranty is valid for two years from product delivery and is separate from, and does not affect, our return policy or any commercial warranty.

The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.
